Updated Terms & Conditions of Use – DrayHub


Effective Date: Aug 1, 2025


DrayHub Inc. ("DrayHub" or "Provider") operates a software-as-a-service (SaaS) platform designed to automate drayage, container visibility, freight tracking, and logistics management. These Terms & Conditions govern your use of DrayHub’s platform and related services.

By using DrayHub’s software, you ("Client") agree to the following Terms & Conditions. In the case of conflict with any signed Master Service Agreement, the signed agreement shall prevail.


1. SERVICE DESCRIPTION

DrayHub provides software tools that enable logistics companies, brokers, freight forwarders, and importers/exporters to:

  • Access shipment visibility and container tracking

  • Manage freight documents and operational workflows

  • Automate rate comparisons, alerts, and carrier communication

  • Sync shipping data across ocean, port, and inland freight

DrayHub is not a transportation provider, freight forwarder, or licensed broker. The platform only facilitates coordination and insights through software integrations and AI-based automation.


2. ACCOUNT & ACCESS

You are responsible for maintaining the security of your DrayHub account. Sharing account credentials with unauthorized users is prohibited.

You must ensure all data input into the platform is accurate, lawful, and does not infringe upon third-party rights.


3. USAGE RESTRICTIONS

You agree not to:

  • Reverse-engineer, decompile, or replicate the platform

  • Use the software for illegal activities

  • Tamper with or overload DrayHub infrastructure

  • Circumvent billing, user limits, or API terms

DrayHub reserves the right to suspend or terminate accounts for misuse without prior notice.


4. SUBSCRIPTIONS & FEES

DrayHub operates under a subscription and/or usage-based pricing model.

  • Clients agree to pay fees as per the agreed plan.

  • Any additional services, integrations, or support will be billed separately.

  • Late payments may result in restricted access.


5. THIRD-PARTY DATA

DrayHub may integrate with third-party data sources (e.g., carrier APIs, port terminals, vessel tracking tools). DrayHub is not liable for delays, inaccuracies, or outages caused by such services.



6. INTELLECTUAL PROPERTY

All software, UI/UX design, database architecture, and proprietary algorithms remain the exclusive property of DrayHub Inc. Clients are granted a non-transferable, revocable license to use the platform as per their plan.



7. CONFIDENTIALITY

Both parties agree to protect confidential business data, including:

  • Shipment history and customer lists

  • Rate structures, margins, and commercial strategies

  • Internal operational procedures

DrayHub may use anonymized data for performance improvements and analytics.


8. SUPPORT & UPTIME

DrayHub aims to maintain a 99.5% uptime SLA and provides support via email and in-app chat. Scheduled maintenance windows will be announced in advance whenever possible.

9. TERMINATION

DrayHub may suspend or terminate your account if:

  • Payment is overdue beyond 15 days

  • Misuse, abuse, or fraudulent activity is detected

  • You breach any terms in this agreement

Upon termination, access to all data and features will be revoked. Clients may request a data export within 14 days of termination.


10. LIMITATION OF LIABILITY

DrayHub is not responsible for:


  • Cargo damage, loss, or delay

  • Carrier negligence

  • Government fines or penalties

  • Business interruption due to platform downtime

DrayHub’s liability is limited to the amount paid by the Client in the past 90 days


11. INDEMNIFICATION

You agree to indemnify and hold harmless DrayHub against all third-party claims, liabilities, or losses arising from your use of the platform or breach of these Terms.


12. FORCE MAJEURE
Neither party shall be held liable for failure or delay in performance due to events beyond reasonable control, including acts of God, war, pandemic, government regulation, power outages, or internet disruptions.


13. GOVERNING LAW & JURISDICTION

These Terms shall be governed by the laws of the State of Texas, and any disputes shall be subject to the exclusive jurisdiction of courts located in Houston, Texas, USA.


14. MODIFICATIONS TO TERMS

DrayHub reserves the right to modify these Terms at any time. Continued use of the platform after updates constitutes acceptance of the revised Terms.
